What does Form MGT-7 contain?
Form MGT-7 is a snapshot of the company's structure for the financial year. It carries the details of the share capital and the shareholding pattern, the list of shareholders and any changes, the directors and any changes to the board, the company's meetings, and its principal business activities. Because it lists the shareholders and their holdings, it is one of the primary public records of who owns an Indian company at the registrar level, alongside the exchange shareholding pattern that listed companies file.
When is Form MGT-7 filed, and by whom?
Form MGT-7 is filed within 60 days of the annual general meeting. Most companies file the full MGT-7. One Person Companies and small companies file the abridged MGT-7A, introduced from the financial year 2020-21, which carries fewer disclosures. The annual return is separate from the financial statements, which are filed on Form AOC-4 within 30 days of the AGM.
